Context

She/he shall ensure that both legal support and policy are consistently and effectively deployed across the business, that contractual risks are under control and that SYSTRA’s operating needs are met. 

 

The Senior Legal Counsel will assist in providing legal counselling related to a wide range of legal and regulatory matters for SYSTRA Ibérica.

 

The Senior Legal Counsel will report to the managing director of Systra Ibérica, as its direct hierarchical report.

 

On a functional basis he/she will report to the Head of Legal based in Paris (HQ).

 

The Senior Legal Counsel is based in Madrid, Spain.

 

He/She will ensure that:

  • both legal support and Systra Group policies are consistently and effectively deployed
  • contractual risks are under control while SYSTRA’s operating needs are met.

Missions/Main Duties

  • She/he will provide legal advice and analysis on the full range of issues (mainly contractual) for the procurement of projects where Systra Ibérica performs its activities.
  • She/he will draft and advise on a wide range of contracts and agreements with respect to SYSTRA Ibérica’s worldwide projects.
  • She/he will support contract negotiations through.
  • She/he will act as a key focal point for internal and external parties to the contractual negotiations and, as the case may be, contract performance.
  • She/he will deal with internal clients and operational teams, clients, consortium partners, subcontractors, as the case may be, and their legal advisors, senior management on a day-to-day basis.
  • She/he will understand and extensively know the active projects and the tenders in preparation.
  • Provide an advisory service to internal stakeholders and challenge legal matters though risks identification and mitigation advice.
  • Engage with management to meet goals and ensure adherence to important corporate and regulatory policies though training.
  • Liaise with local insurance brokers for projects and tenders.
  • Liaise and coordinate with external counsels.
  • Draft legal notices and lead the support towards management of dispute cases.
  • Engage with management to meet goals and ensure adherence to important corporate and regulatory policies through legal trainings.
  • Liaise with Systra’ Head of corporate matters to manage the local corporate processes for the entities of SYSTRA Iberica; prepare, ensure respect of and apply Systra’s group governance (including board of directors and shareholder meetings, company secretarial)/compliance rules, as per the Systra’s Group applicable rules and in cooperation with Systra’s group Head of Corporate matters.
  • Participate actively to the Systra Group legal network.

 

Profile/Skills

  • Law degree 
  • Fluent in Spanish and English 
  • French and Portuguese are not mandatory but would be appreciated
  • Solid knowledge of Spanish public procurement rules, engineering contracts and D&B/construction contracts is mandatory
  • Proven experience of negotiating and drafting contracts and transaction documents
  • Previous experience in an international environment
  • Extensive experience of minimum 5 years
  • Ideally a prior in-house experience preceded by law firm experience is preferred.
  • Previous experience in either construction, transport or engineering sectors is a must
